Terms and Conditions for Joe's Web Solutions

1. Introduction

All web-related services will be performed using the Wix platform, and Wix is responsible for tasks they manage directly, such as hosting, uptime, and security features related to their platform.

1. Web Development and Design

Joe's Web Solutions provides professional web development and design services, including but not limited to:

Custom Website Design: Tailored designs based on your brand and business goals.
Responsive Design: Websites optimized for viewing across all devices (desktop, mobile, and tablet).
E-Commerce Integration: Secure payment gateways and shopping carts for online stores.
Maintenance and Updates: Ongoing maintenance and updates are available under separate agreements.

Platform Note: Web development services will be built using the Wix platform. Wix is responsible for core tasks such as hosting, site security, and platform-specific updates or fixes.

Client Responsibilities for Web Development: The client is responsible for providing all necessary content, images, and other materials in a timely manner. Delays in providing this material may result in project delays or additional costs.

2. SEO (Search Engine Optimization) Services

We provide comprehensive SEO services designed to improve your website’s visibility and ranking on search engines. Our SEO strategy is tailored to your business needs and goals, with ongoing analysis and adjustments to maximize results.

Our SEO services include:

Keyword Research & Strategy:
We conduct in-depth keyword research to identify the most relevant and profitable search terms for your business. This includes analyzing search volumes, competition, and user intent. Based on this research, we develop a keyword strategy that aligns with your business goals.
On-Page Optimization:
We ensure that each page of your website is optimized for search engines by adjusting titles, meta descriptions, headers, alt text, and internal linking structures. We also optimize your content for readability and engagement, balancing user experience with SEO best practices.
Technical SEO Audits:
Our technical SEO audits identify any issues that might prevent your site from ranking well, including page speed, mobile-friendliness, security (HTTPS), and crawl errors. We provide actionable recommendations to resolve these issues and improve your site’s overall health.

Local SEO (if applicable):

Performance Reporting:
We provide monthly SEO reports that track keyword rankings, organic traffic, conversions, and other important metrics. Our reports also highlight areas for improvement and adjustments to the ongoing strategy.

Platform Note:
SEO services will be managed through Wix’s integrated SEO tools where applicable. Wix is responsible for the performance of their built-in SEO features, but Joe’s Web Solutions handles strategy and custom optimization.

Client Responsibilities for SEO:
The client must provide access to the website’s content management system (Wix) and any third-party analytics tools to allow us to track and report on SEO performance. Clients are also responsible for approving any content updates or technical changes we recommend.

3. SEO Maintenance Services

SEO requires ongoing efforts to stay ahead of competitors and adapt to changes in search engine algorithms. Our SEO maintenance services are designed to ensure your site continues to rank well over time.

Ongoing Keyword Optimization:
We continuously monitor keyword performance and adjust targeting based on shifting trends and search volumes. This ensures that your site remains optimized for the most relevant and profitable keywords.
Content Refreshes:
We periodically review and update existing content to keep it relevant and aligned with current SEO best practices. This includes updating old posts, revising outdated information, and adding new internal links.
Monthly Audits & Technical Updates:
We perform monthly technical SEO audits to ensure that your site remains fast, mobile-friendly, and secure. This includes monitoring site speed, checking for broken links, and resolving any crawl issues.
Competitor Analysis:
We keep an eye on your competitors’ SEO strategies, identifying opportunities to outperform them in search rankings. This includes tracking their backlink profiles, keyword targeting, and content strategies.
Algorithm Monitoring:
Search engine algorithms are constantly evolving. We monitor changes to these algorithms and adjust your SEO strategy accordingly to prevent ranking drops and take advantage of new opportunities.

Each month, we provide detailed reports outlining your SEO performance. We also offer strategy refinement sessions to discuss progress, review data, and adjust the ongoing SEO plan as needed.

SEO maintenance will be performed using Wix’s built-in tools and any custom strategies implemented by Joe's Web Solutions. Wix remains responsible for platform-wide SEO tools and their functionality.

Client Responsibilities for SEO Maintenance:
The client must provide timely access to the website, content updates, and approval for any changes or optimizations.

4. Website Maintenance Services

To ensure your website remains secure, up-to-date, and functioning properly, Joe's Web Solutions offers comprehensive Website Maintenance Services, including:

Security Updates: Applying regular security patches and updates to protect your website from vulnerabilities.
Plugin/Software Updates: Keeping all plugins and software up-to-date to prevent compatibility issues.
Backup and Recovery: Regular backups of your website to ensure data can be recovered in case of a failure.
Bug Fixes and Troubleshooting: Addressing any technical issues or bugs that arise on the site.
Performance Monitoring: Ongoing monitoring of your website’s performance, including uptime and page load speed.

Platform Note: Website maintenance will be performed using the Wix platform, which is responsible for platform-wide updates, security patches, hosting, and uptime. Joe's Web Solutions will manage tasks such as content updates, plugin management, and performance checks.

Client Responsibilities for Website Maintenance:
The client must provide access to the Wix platform and approve major updates or changes that could affect the site's functionality.

5. Social Media and Content Creation

Our social media and content creation services help boost your brand’s online presence. We offer:

Social Media Management: Managing social media accounts, posting content, and engaging with your audience.
Content Writing: Creating blog posts, articles, and other content tailored to your audience.
Content Distribution: Distributing content across relevant platforms to maximize reach.

Client Responsibilities for Social Media:
The client is responsible for providing any brand guidelines, assets, and approval for content before publishing.

6. Pay-Per-Click (PPC) Advertising

Our PPC advertising services are designed to drive targeted traffic and increase conversions through paid search and display ads. We handle all aspects of your PPC campaigns, from setup to ongoing optimization.

Our PPC services include:

Campaign Setup & Strategy:
We work with you to develop a PPC strategy tailored to your business objectives. This includes selecting the most appropriate platforms (Google Ads, Facebook Ads, Instagram Ads, etc.) and defining the key performance indicators (KPIs) that will measure success.
Ad Copy Creation & A/B Testing:
We create compelling, action-driven ad copy designed to attract clicks and conversions. To optimize performance, we conduct A/B testing, comparing different versions of ad copy, images, and targeting to find the best-performing ads.
Landing Page Optimization:
To improve conversion rates, we ensure that your landing pages are optimized for user experience and aligned with your ad campaigns. This includes fast load times, clear call-to-action buttons, and relevant content that matches the ad’s intent.
Budget Management & Bid Adjustments:
We manage your PPC budget, ensuring that your ad spend is used effectively. We adjust bids based on performance and competition, ensuring that your ads are getting the best possible placement for the lowest cost-per-click (CPC).
Remarketing Campaigns:
We set up remarketing campaigns to target users who have previously visited your website but didn’t convert. These ads help re-engage potential customers and encourage them to return and complete an action (e.g., purchase, sign-up).
Performance Tracking & Reporting:
We monitor campaign performance on an ongoing basis, making adjustments as needed to maximize results. Monthly reports are provided to track click-through rates (CTR), conversion rates, cost-per-click (CPC), and return on ad spend (ROAS).

Platform Note:
PPC campaigns are run through third-party platforms (Google Ads, Facebook, Instagram, etc.). While Joe’s Web Solutions manages strategy and execution, the platform providers (Google, Facebook, etc.) are responsible for the delivery and uptime of their respective ad networks.

Client Responsibilities for PPC:
The client must provide access to advertising accounts, approve budgets, and supply any additional assets (such as images or videos) required for ad creation. Clients are also responsible for approving any budget changes or strategic adjustments.

4. Payment Terms, Refund Policy, and Dispute Resolution

All payments must be made according to the payment schedule outlined in our Service Agreement. Invoices are due upon receipt and must be paid no later than 10 days after the due date. A late fee of 5% will be applied to any overdue amount. If payment remains outstanding for more than 30 days, services may be suspended until the balance is paid in full, and a monthly interest rate of 1.5% will be charged on overdue amounts. Refund Policy: Once work has commenced on a project, refunds will not be provided unless otherwise agreed upon in writing. In the event that Joe's Web Solutions agrees to issue a partial refund, the refund will only cover the portion of work that has not been completed or delivered.

If the client disputes any portion of an invoice, they must notify Joe’s Web Solutions in writing within 14 days of the invoice date. The parties will engage in good-faith discussions to resolve the dispute within 30 days. If no resolution is reached, the dispute may be escalated to arbitration or mediation. All undisputed portions of the invoice remain payable by the original due date.

5. Project Deadlines

All project timelines provided by Joe's Web Solutions are estimates based on the scope and complexity of the project. While we strive to meet deadlines, completion times may vary due to factors such as project complexity, client revisions, or resource availability. We will promptly communicate any changes to timelines.

Scope Creep: Any additional work or changes requested beyond the original agreement will be considered scope creep. These changes may result in additional charges and extensions to the project deadline. Joe's Web Solutions will notify the client of any scope changes and provide a revised timeline and cost before proceeding with the additional work.

Client delays, such as late provision of materials or feedback, may also affect deadlines.

6. Revisions Policy

Joe's Web Solutions includes up to two rounds of revisions for web design, content creation, and similar services. These revisions must fall within the scope of the original project. Any additional revisions beyond the two rounds will be billed at our standard hourly rate of [$X/hour]. If revisions introduce changes beyond the agreed scope of work, they may also be considered scope creep and result in additional charges.

7. Cancellation and Termination

Clients may cancel services at any time, but please note that any paid fees are non-refundable unless otherwise stated in our Service Agreement. Clients may also terminate individual services while maintaining others, if needed.

If a client cancels early, they are responsible for all work completed up to the cancellation date. Joe's Web Solutions will invoice for any unpaid work at the time of cancellation. We reserve the right to terminate the agreement if payments are overdue or if the client fails to provide necessary feedback or materials.

Early termination may be subject to a 25% termination fee on the remaining project cost. Joe's Web Solutions reserves the right to suspend or terminate services for any breach of these Terms and Conditions or violation of applicable laws.

8. Warranties, Representations, and Results Disclaimer

Joe's Web Solutions is committed to delivering high-quality services aligned with the agreed-upon scope of work. However, due to the dynamic nature of the digital environment and external factors beyond our control—such as changes in search engine algorithms, user behavior, and competition—specific results, including traffic increases, search engine rankings, or conversion rates, cannot be guaranteed.

All services are provided "as is," without any express or implied warranties, including, but not limited to, implied warranties of fitness for a particular purpose or merchantability. The client warrants that all materials and information provided to Joe's Web Solutions are accurate, lawful, and do not infringe on any third-party rights.

9. Intellectual Property Transfer

Ownership of all materials created by Joe's Web Solutions will transfer to the client upon full payment for the project. If full payment is not made, Joe's Web Solutions retains ownership of the materials and reserves the right to revoke usage rights. Any third-party tools or licensed software integrated into the project remain the property of their respective licensors and are subject to separate licensing agreements.

10. Limitation of Liability

To the fullest extent permitted by law, Joe's Web Solutions’ total liability to the client for any claims arising from this agreement is limited to the total amount paid by the client for the services rendered. Under no circumstances shall Joe's Web Solutions be liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use, even if Joe's Web Solutions has been advised of the possibility of such damages.

11. Indemnification

The client agrees to indemnify, defend, and hold harmless Joe's Web Solutions, its employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

The client’s breach of these Terms and Conditions.
Any content or materials provided by the client that violate intellectual property laws, privacy laws, or any other third-party rights.
The client’s use of Joe's Web Solutions services that result in any third-party claim or legal action, including but not limited to claims of defamation, infringement, or negligence.

This indemnification extends to any claims or legal actions resulting from the client’s misuse of the services provided by Joe's Web Solutions or their failure to adhere to applicable laws or regulations.

12. Force Majeure

Joe's Web Solutions is not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, or other unforeseen events.

13. Client Responsibilities

Ownership and Maintenance Responsibility:
If the client opts not to subscribe to ongoing maintenance services, the client assumes full ownership of the website upon project completion. As the owner, the client is responsible for managing and maintaining the website, including all associated fees such as hosting, Wix membership, and domain registration. Joe's Web Solutions is not liable for issues arising post-handover unless a separate maintenance agreement is signed.
Provision of Materials and Information:
The client agrees to provide all necessary content, materials, and information, including but not limited to text, images, videos, and brand assets, in a timely manner. Any delays in providing these materials may result in project delays and could incur additional costs.
Timely Feedback and Approvals:
The client agrees to provide prompt feedback and approvals during the project development process. Failure to provide timely feedback may result in project delays or additional charges.
Compliance with Third-Party Policies:
If your website relies on third-party services (e.g., Wix, hosting platforms, domain providers), you are responsible for complying with their terms and conditions, including paying any associated fees. Joe's Web Solutions is not responsible for disruptions or additional costs arising from non-compliance with third-party services.
Content and Copyright Compliance:
The client warrants that all content and materials provided to Joe's Web Solutions do not infringe on any copyright, trademark, or other intellectual property rights. Joe's Web Solutions is not liable for any infringement claims.

14. Third-Party Links

Our website may contain links to third-party websites or services. We are not responsible for the content or privacy practices of external sites, and we recommend that you review their terms and policies independently. Joe's Web Solutions is not liable for any damages or losses caused by using third-party services linked to or mentioned on our website.

Local Clients: Any disputes arising from these Terms and Conditions, or any contract entered into with Joe's Web Solutions, shall be subject to the exclusive jurisdiction of the courts in Chicago, Illinois, USA. The client agrees to submit to the personal jurisdiction of these courts for the resolution of any disputes.
International Clients: For clients located outside of the United States, disputes shall be resolved under the same governing law and jurisdiction as local clients. However, international clients agree to bear any additional legal costs incurred due to jurisdictional differences.

2. Arbitration Clause

Dispute Resolution through Arbitration: In the event of a dispute that cannot be resolved through good-faith negotiations, both parties agree to submit to binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration will take place in Chicago, Illinois, and the decision of the arbitrator will be final and enforceable in any court of competent jurisdiction.

3. Legal Fees and Costs

If any legal action or proceeding is brought to enforce any provision of this agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and court costs in addition to any other relief granted.
